Job Description
I. Legal Function (70%)
1. Contracts & Agreements:
- Draft, review, and provide legal advice on all types of contracts arising from company operations.
- Standardize contractual templates across departments.
- Manage the e-contract system operations
2. Powers of Attorney (POA):
- Propose and manage the annual POA (authorization from CEO to BODs).
- Draft, review, and provide legal advice for ad-hoc POAs.
3. Intellectual Property (IP):
- Serve as key contact with HQ Legal Team for IP-related procedures (registration, extension, infringement cases).
- Collect and manage registered IP data files relevant to company products.
- Provide legal advice on IP matters to support departmental operations.
- Collaborate with FQS and related departments to handle enforcement cases (copycat, counterfeit, etc.).
- Manage Licensing Agreements (Trademark, Technology), including government registration if required.
4. Legal Consultation:
- Provide legal advice to all departments on legal issues arising from company operations.
- Support relevant departments in liaising with the authorities as required.
5. Corporate Licenses:
- Manage and carry out legal procedures to update ERCs, IRCs (Company and branches).
Manage and carry out legal procedures for other assigned licenses.
6. Personal Data Protection:
- Collaborate with IT to fulfill personal data protection obligations as required by law.
- Release forms/policies to minimize the company's legal risk.
7. Litigations
- Represent the company in legal proceedings (if any) under assignment.
- Prepare dossiers to collect bad debts before lawsuit proceedings.
8. Legal Outsourcing
- Manage outsourced legal services.
II. Compliance (15%)
1. Legal Updates:
- Update and share new laws/regulations with BOD and relevant departments that may affect company operations.
- Organize legal workshops to share regulatory updates when necessary.
2. Internal Regulations & Procedures:
- Propose and release internal regulations/procedures related to legal operations.
- Support departments in implementing and releasing relevant regulations/procedures.
3. HQ Policy Implementation:
- Cascade HQ Legal Team's policies and IP-related rules/procedures into the company.
III. Project support and other task assigned Be responsible in the scope of assignment.
1. M&A Projects:
- Participate as a member of the Project Team; prepare relevant documents and deal dossiers.
- Provide legal advice on M&A transactions, including engaging outsourced legal services when necessary.
- Carry out legal procedures related to Target Company and Projects
2. Other Projects:
- Support assigned projects as needed (e.g., EPR, E-Contract, etc.).
- Seals Management: Be responsible for seals management and directly keep the assigned company's seals
